Bill of Lading (B/L) / Conocimiento de Embarque:

Obligación de entrega del conocimiento de embarque.

1. Una vez que las mercancías estén a bordo del buque, el porteador, el capitán o el agente del porteador deberán entregar al cargador un conocimiento de embarque, que documente el derecho a la restitución de esas mercancías en el puerto de destino.

2. Si el conocimiento de embarque se hubiera emitido antes de que las mercancías estuvieran a bordo del buque, el capitán deberá incluir una apostilla en el documento, una vez que se produzca el embarque, indicando «embarcado» o «embarcadas», con expresión del día y hora en que se hubiera iniciado y aquel en que se hubiera finalizado la carga, o sustituir el anterior por un nuevo conocimiento que exprese que las mercancías se encuentran efectivamente a bordo del buque. Si se emitiera nuevo conocimiento deberá mencionarse el nombre del buque.

* Si se tiene confianza con el proveedor y el país lo permite puede hacerlo por telex release, ya que así se ahorra el coste del envío de la documentación por mensajero internacional; se generará un BL original, pero con la copia será suficiente para que la mercancía pueda ser entregada.

* En el caso del express release, el documento físico original no existe, por lo que no sólo se ahorran los gastos de envío del BL sino también los derivados de su generación.

 

Sea Waybill (SWB): Also known as “Express Release Bill of Lading” or “Straight Bill of Lading,” the goods can be delivered to the person identified in the document, and they will simply have to verify their identity instead of presenting a document to claim the freight. It is important to mention that a Sea Waybill only plays an evidential function and does not give title to the goods (non-negotiable).

El master bill of lading o master BL tambien se conoce como ocean o carrier bill of lading, porque es emitido por la naviera, habitualmente al NVOCC o transitarioEn estos casos el shipper o expedidor es normalmente el operador NVOCC, o su agente en destino. Tan pronto como el NVOCC recibe la carga del shipper o expedidor, reserva de nuevo exactamente la misma carga con la naviera. Cuando la naviera confirma que ha recibido la carga, emite el master bill of lading a la entidad que ha hecho la reserva, que en este caso, sería el NVOCC.

El house bill of lading es emitido por el NVOCC al cliente final. Tan pronto como el NVOCC recibe el envío del shipper y se asegura de que toda la documentación para el despacho de aduanas es correcta, emite el house bill of lading al shipper.

Revenue recognition requires multiple things. As mentioned above, the seller must no longer own the goods (*) and the Seller must no longer be responsible for their condition. In addition the buyer cannot have a right to return the goods. Retention of title as a mean of ensuring payment would prevent you from claiming revenue.
To recognize revenue you need to transfer title and risk of loss. 

 

(*)  In the U.S. the Security and Exchange Commission"s (SEC) rules for revenue recognition requires delivery to be complete. For delivery to be complete ownership of the goods must have shifted to the buyer, as well as the risks of ownership. The buyer must also have accepted the goods. If you still own the goods, the sale hasn't occurred according to those standards.

 

Las Normas Internacionales de Información Financiera (NIIF), también conocidas por sus siglas en inglés como IFRS (International Financial Reporting Standard), son estándares técnicos contables adoptadas por el IASB, institución privada con sede en Londres. Constituyen los Estándares Internacionales o normas internacionales en el desarrollo de la actividad contable y suponen un manual contable de la forma como es aceptable en el mundo. Las normas se conocen con las siglas NIC y NIIF dependiendo de cuándo fueron aprobadas y se matizan a través de las "interpretaciones" que se conocen con las siglas SIC yCINIIF.

Las NIIF son usadas en muchas partes del mundo, entre los que se incluye la Unión EuropeaHong KongAustraliaChileColombiaMalasiaPakistánIndiaPanamá,GuatemalaPerúRusiaSudáfricaSingapurTurquía y Ecuador. Desde el 28 de marzo de 2008, alrededor de 75 países obligan el uso de las NIIF, o parte de ellas. Otros muchos países han decidido adoptar las normas en el futuro, bien mediante su aplicación directa o mediante su adaptación a las legislaciones nacionales de los distintos países

 

Lien Clause

The Carrier shall have a lien on Goods and any documents relating thereto for all sums whatsoever due at any time to the Carrier from the Merchant and for General Average contributions to whomsoever due and for the costs of recovering the same and the Carrier shall have the right to sell the Goods and documents by public auction or private treaty, without notice to the Merchant and at the Merchant's expense and without any liability towards the Merchant.

 

CARRIER’S LIEN THE CARRIER, ITS SERVANTS OR AGENTS SHALL HAVE A LIEN ON THE GOODS AND ANY DOCUMENT RELATING THERETO FOR FREIGHT AND FOR GENERAL AVERAGE CONTRIBUTIONS TO WHOMSOEVER DUE. THE CARRIER, ITS SERVANTS OR AGENTS SHALL ALSO HAVE A LIEN AGAINST THE MERCHANT ON THE GOODS AND ANY DOCUMENT RELATING THERETO FOR ALL SUMS DUE FROM THE MERCHANT TO THE CARRIER UNDER ANY OTHER CONTRACT. The Carrier may exercise its lien at any time and any place in its sole discretion, through the action of any servant, agent or Subcontractor, whether the contractual carriage is completed or not. The Carrier’s lien shall also extend to cover the cost and legal expense of recovering any sums due. The Carrier shall have the right to sell any Goods liened by public auction or private treaty, without notice to the Merchant. Nothing herein shall prevent the Carrier from recovering from the Merchant the difference between the amount due to the Carrier and the net amount realised by such sale.

 

But with containers, ie LCL and FCL, the cargo leaves the seller's possession and direct control when the cargo is given to the carrier at a terminal, ie CFS (Container Freight Station) or CY (Container Yard).

 

Conditions of Carriage

CY: Container Yard. Zona de recepción y entrega de contenedores. En dicha zona, los contenedores permanecen llenos (a la espera de ser cargados sobre medio de transporte) o vacíos (a la espera de ser trasladados a la zona CFS para su posterior llenado).

CY (Container Yard) Container Terminal - 1. Place of storage containers before / after their further shipment. 2. Conditions of carriage for departure / arrival time - the cost of transportation includes services for sending from / to CY (freight, loading / unloading from the vessel, placing on the CY, does NOT include underwriting services / shipments to / from CY)

CFS: Carrier´s facilities. Zona de llenado y vaciado de contenedores. A dicha zona acceden los contenedores vacíos para llenarlos y los contenedores llenos para vaciarlos.

FCL: Full container load (*). Contenedor completo con mercancía de un único cargador. La indicación de las siglas FCL-FCL en la documentación de embarque refleja que el contenedor se llena en su totalidad en el almacén de un exportador y se vacía en su totalidad en el almacén de un importador.

LCL: Less container load. Contenedor con mercancía de varios cargadores (grupaje).La indicación de las siglas LCL-LCL en la documentación de embarque refleja que el contenedor se llena (con mercancía de varios cargadores) en la terminal de carga del puerto-aeropuerto-autoterminal de origen y que se vacía en la terminal de carga del puerto-aeropuerto-autoterminal de llegada.

- Unless otherwise provided, when a Bill of Lading is issued from an origin where Carrier has a designated CY, the rate is applicable from the CY facility only. When a Bill of Lading is issued from an origin where Carrier has no CY facility, Door Pickup will be provided.

- When a Bill of Lading is issued to a destination where Carrier has no CY facility, Door Delivery or Store Door Delivery (SDD) will be provided.

 

Definition of "CY/CY" term from ZIM's bill of lading: "CY/CY" carriage terms - means that the Container has been inspected, accepted, stuffed and sealed by the Merchant, or his agents, and the unsealing and unstuffing of such Container shall also be performed by the Merchant or his agents, all at the Merchant’s sole risk and responsibility.

All deliveries are Port to Port. i.e. It is the responsibility of either the Shipper or Consignee to arrange for the Cargo to be sent to Container Yard / Container Freight Station at the origin port and take the delivery from Container Yard / Container Freight station at destination port. Also in case of consolidation services, carriers will issue a CY/CY Bill of Lading to the consolidator (Freight forwarder), who in turn will issue House Bill of Lading to the Shipper with CFS pickup/delivery.

 

Container Freight Station (CFS): "A port facility for loading and unloading containerized cargo to and from ships. Also called container terminal."

CFS to CFS: "Shipping term indicating that a named carrier will pack the break-bulk cargo (delivered by the consignee at port of origin's CFS) into containers, and will unpack the containers at the port of destination's CFS."

Container Yard (CY): "Port facility at which containers are accepted for loading onboard ships, and off-loaded containers are delivered to the consignees. Also called Marshalling yard."

Tiempo de plancha (laytime): El tiempo de plancha o estadía,​ en transporte marítimo, en régimen de fletamento, es el plazo que un buque debe permanecer en puerto dedicado a operaciones de carga y descarga de la mercancía. Aparece en el contrato de transporte marítimo en régimen de fletamento por viaje, llamado «póliza de fletamento», ya que forma parte de la negociación entre armador o naviero fletante y cargador (o fletador).
El tiempo de plancha empieza a contar desde el momento en que el armador comunica al fletador que el barco está listo para recibir o entregar mercancías, con el llamado «aviso de alistamiento» (en inglés, notice of readiness) y este último lo acepta.

 

Sobreestadía (demora / demurrage): es el cobro por el uso del contenedor cuando este excede los días libres otorgados para la devolución al depósito autorizado / es el exceso que, transcurrido el plazo de estadía, se emplea en terminar de realizarlas sobrestadías.

THC Terminal Handling Charge Coste de la manipulación del contenedor en una terminal. Suele referirse bien a la carga del contenedor al barco o la descarga desde éste al muelle.
WRS War Risk Surcharge Es un recargo del flete marítimo que se aplica cuando la ruta del barco discurre por zona en conflicto bélico o con alto riesgo de que se declare.
